PUBLIC OFFER
on concluding a contract for the provision of services

1. General Provisions
This Public Offer contains the terms and conditions for concluding a Contract for the provision of services (hereinafter referred to as the "Contract for the provision of services" and/or the "Contract"). This offer is recognized as an offer addressed to one or more specific persons, which is sufficiently specific and expresses the intention of the person who made the offer to consider himself or herself as having concluded a Contract with the addressee who will accept the offer.
The performance of the actions specified in this Offer is a confirmation of the consent of both Parties to conclude a Contract for the provision of services on the terms, in the manner and to the extent set forth in this Offer.
The text of the Public Offer set forth below is an official public offer of the Contractor addressed to interested persons to conclude a Contract for the provision of services in accordance with the provisions of paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
The Service Agreement shall be deemed concluded and shall come into force from the moment the Parties perform the actions stipulated in this Offer, which mean unconditional and full acceptance of all the terms of this Offer without any exceptions or restrictions on the terms of accession.

Terms and definitions:
Agreement – ​​the text of this Offer with Appendices, which are an integral part of this Offer, accepted by the Customer by performing the implicative actions stipulated by this Offer.
Implicative actions are behavior that expresses consent to the counterparty's offer to conclude, amend or terminate the agreement. The actions consist of full or partial fulfillment of the terms proposed by the counterparty.
The Contractor's website on the Internet is a set of programs for electronic computers and other information contained in the information system, access to which is provided via the Internet by the domain name and network address: https://cardir.net
Parties to the Agreement (Parties) – the Contractor and the Customer.
Service – a service rendered by the Contractor to the Customer in the manner and on the terms established by this Offer.

2. Subject of the Agreement
2.1. The Contractor undertakes to render the Customer Services for posting the following information on the CarDir.net website:
- about the Customer;
- about the products and services supplied by the Customer;
and the Customer undertakes to pay for them in the amount, manner and within the timeframes established by this Agreement.
2.2. The name, quantity and cost of the Services are set on the Contractor's website on the Internet "https://cardir.net" in the menu: "About us -> Opportunities and money" (link).
2.3. The Contractor renders Services under this Agreement personally or with the involvement of third parties, while the Contractor is liable to the Customer for the actions of third parties as for his own.
2.4. The Agreement is concluded by accepting this Offer through the performance of implicative actions expressed in:
• actions related to the registration of an account on the Contractor's Website on the Internet, if there is a need to register an account;
• the preparation and sending by the Customer of an application to the Contractor for the provision of Services;
• actions related to the payment for Services by the Customer;
• actions related to the provision of Services by the Contractor.
This list is not exhaustive; there may be other actions that clearly express the person's intention to accept the counterparty's offer.

3. Rights and obligations of the Parties
3.1. Rights and obligations of the Contractor:
3.1.1. The Contractor undertakes to provide Services in accordance with the provisions of this Agreement, within the timeframes and in the amount specified in this Agreement and (or) in the manner specified on the Contractor's Website.
3.1.2. The Contractor undertakes to provide the Customer with access to the sections of the Website necessary to obtain information in accordance with paragraph 2.1. of the Agreement.
3.1.3. The Contractor is responsible for storing and processing the Customer's personal data, ensures the confidentiality of this data and uses it exclusively for the high-quality provision of Services to the Customer.
3.1.4. The Contractor reserves the right to change the terms (period) of provision of Services and the terms of this Offer unilaterally without prior notice to the Customer, publishing the specified changes on the Contractor's Website on the Internet.
In this case, the new / amended terms indicated on the Website apply only to newly concluded Agreements.
3.2. Rights and obligations of the Customer:
3.2.1. The Customer is obliged to provide reliable information about himself when receiving the relevant Services.
3.2.2. The Customer undertakes not to reproduce, repeat, copy, sell, or use for any purpose the information and materials that have become available to him in connection with the provision of Services, except for personal use directly by the Customer himself without providing access in any form to any third parties.
3.2.3. The Customer undertakes to accept the Services provided by the Contractor;
3.2.4. The Customer guarantees that all terms of the Agreement are clear to him; The Customer accepts the terms of the without reservations, and in full.

4. Price and payment procedure
4.1. The cost of the Contractor's services rendered by the Customer and the payment procedure are determined on the basis of the Contractor's information when the Customer places an order or are set on the Contractor's Website on the Internet: https://CarDir.net
4.2. All payments under the Agreement are made by bank transfer.

5. Confidentiality and security
5.1. When implementing this Agreement, the Parties ensure the confidentiality and security of personal data in accordance with the current version of the Federal Law of 27.07.2006 No. 152-FZ "On Personal Data" and the Federal Law of 27.07.2006 No. 149-FZ "On Information, Information Technologies and the Protection of Information".
5.2. The Parties undertake to maintain the confidentiality of information received during the execution of this Agreement and to take all possible measures to protect the information received from disclosure.
5.3. Confidential information means any information transferred by the Contractor and the Customer during the implementation of the Agreement and subject to protection, the exceptions are specified below.
5.4. Such information may be contained in local regulations, agreements, letters, reports, analytical materials, research results, diagrams, schedules, specifications and other documents provided to the Contractor, drawn up both on paper and electronic media.

6. Force Majeure
6.1. The Parties shall be released from liability for failure to perform or improper performance of obligations under the Agreement if proper performance was impossible due to force majeure, i.e. extraordinary and unavoidable circumstances under the given conditions, which shall mean: prohibited actions of authorities, epidemics, blockade, embargo, earthquakes, floods, fires or other natural disasters.
6.2. In the event of these circumstances, the Party shall be obliged to notify the other Party thereof within 30 (Thirty) business days.
6.3. A document issued by an authorized government agency shall be sufficient evidence of the existence and duration of force majeure.
6.4. If force majeure circumstances continue to operate for more than 60 (Sixty) business days, each Party shall have the right to unilaterally terminate this Agreement.

7. Liability of the Parties
7.1. In case of failure to perform and/or improper performance of their obligations under the Agreement, the Parties shall be liable in accordance with the terms of this Offer.
7.2. The Contractor shall not be liable for failure to perform and/or improper performance of obligations under the Agreement if such failure to perform and/or improper performance occurred due to the fault of the Customer.
7.3. The Party that has failed to perform or improperly performed its obligations under the Agreement shall compensate the other Party for the damages caused by such violations.

8. Validity of this Offer
8.1. The Offer shall enter into force from the moment it is posted on the Contractor's Website and shall be valid until it is revoked by the Contractor.
8.2. The Contractor reserves the right to amend the terms of the Offer and/or revoke the Offer at any time at its own discretion. Information about the change or revocation of the Offer shall be communicated to the Customer, at the Contractor's discretion, by posting it on the Contractor's website on the Internet, in the Customer's Personal Account, or by sending a corresponding notice to the e-mail or postal address specified by the Customer upon conclusion of the Agreement or during its execution.
8.3. The Agreement shall enter into force upon Acceptance of the terms of the Offer by the Customer and shall be valid until the Parties have fully fulfilled their obligations under the Agreement.
8.4. Changes made by the Contractor to the Agreement and published on the website in the form of an updated Offer shall be deemed accepted by the Customer in full.

9. Additional Terms
9.1. The Agreement, its conclusion and execution shall be governed by the current legislation of the Russian Federation. All issues not regulated by this Offer or not fully regulated shall be governed by the substantive law of the Russian Federation.
9.2. In the event of a dispute that may arise between the Parties during the performance of their obligations under the Agreement concluded on the terms of this Offer, the Parties are obliged to settle the dispute peacefully before the commencement of legal proceedings.
Legal proceedings shall be carried out in accordance with the legislation of the Russian Federation.
Disputes or disagreements on which the Parties have not reached an agreement shall be resolved in accordance with the legislation of the Russian Federation. The pre-trial dispute resolution procedure is mandatory.
9.3. The Parties have defined the following languages ​​as the language of the Agreement concluded on the terms of this Offer, as well as the language used in any interaction between the Parties (including correspondence, provision of demands / notifications / explanations, provision of documents, etc.): English or Russian.
9.4. All documents to be provided in accordance with the terms of nof this Offer shall be drawn up in one of the languages ​​specified in clause 9.3.
9.5. Failure of one of the Parties to act in the event of a breach of the terms of this Offer shall not deprive the interested Party of the right to protect its interests later, nor shall it constitute a waiver of its rights in the event of one of the Parties committing similar or similar breaches in the future.
9.6. If the Contractor's Website on the Internet contains links to other websites and materials of third parties, such links are posted solely for informational purposes, and the Contractor has no control over the content of such websites or materials. The Contractor shall not be liable for any losses or damages that may arise as a result of using such links.

10. Provision of services and refund of payment
10.1. The provision of services under this Agreement (posting of information on the website) shall become available within 3 business days from the date of payment.
10.2. A refund of the amount paid for the services rendered is not provided, since actual expenses for posting and publishing information on the Site are incurred by us in a lump sum immediately after payment.

The Terms of Use of the CarDir.net website ("Terms") govern the relationship between IP Zhivareva Yu.V. ("Company", "we") and Internet users who have accessed the CarDir.net website ("users", "you").

You may use CarDir.net in accordance with the provisions of the Terms and the Personal Data Processing Policy. If you do not agree with them, you must stop using CarDir.net.

1. What is CarDir.net
CarDir.net is an Internet site accessible at https://CarDir.net (including all domain levels) through the full and mobile versions, which is a collection of intellectual property objects of the Company and information (administrative and user content) contained in the information system ("CarDir.net").

CarDir.net is an electronic catalog of advertisements for products and other offers (collectively, "services") that users can offer and search for on CarDir.net for the purpose of concluding transactions, as well as without concluding transactions.

The Company provides authorized users with the technical ability to post information on CarDir.net in the format of advertisements in the presented categories of services. CarDir.net's automatic algorithms process requests to provide relevant information in search results.
The Company is not a participant, transaction organizer, buyer, seller, employer, intermediary, agent, representative of any user, beneficiary or other interested party in relation to transactions between users. Users use the information posted on CarDir.net to conclude transactions at their own risk without direct or indirect participation or control by the Company.

2. Registration on CarDir.net
You can register on CarDir.net using the email address provided in the CarDir.net login form. After registration, we will create your unique profile. There can only be one profile on CarDir.net at a time, linked to one email address.
To access all the features of the service, we may ask you to provide a phone number, email address.
By registering on CarDir.net and each time you log in to CarDir.net, you guarantee that you have all the powers necessary to fulfill the Terms.

3. Login to CarDir.net
You can log in to your CarDir.net profile (authorize) using your email address. In this case, you will need to enter a password. You are obliged to maintain the confidentiality of your CarDir.net login data. If you have reason to believe that someone has gained unauthorized access to them, please notify us immediately. All actions performed on CarDir.net by a person authorized using your login data will be considered performed by you. You will be responsible for such actions.

4. User information
The information you provide to the Company about yourself must be accurate, current, and must not violate the law or the rights of third parties. You are obliged to update it in your profile on CarDir.net as necessary. We may request data from you to confirm your authority or verify your credibility if we detect signs of violation of the rules or unfair behavior. If you do not provide it, we will have the right to restrict access to your profile.
We cannot guarantee that all the information that users provide on CarDir.net is true. Be careful when making transactions.
In some cases, we may ask you to undergo a security check or give you the opportunity to do so on your own initiative.
The due diligence check is necessary to fulfill the contract with you for providing you with the opportunity to use the functionality of CarDir.net and to ensure the safety of CarDir.net users, as we strive to provide a service that makes it easier for users to trust each other and make transactions.
Documents provided by the user for the purpose of due diligence may include a passport, driver's license, a video image of the user's face from several angles without recording voice or other sounds.
The provision of documents by the user is intended to confirm the following facts: 1) the user's profile was created by a real person for the legitimate use of CarDir.net, and was not registered using automated means or previously belonged to another user, but was hacked for the purpose of committing illegal actions; 2) the user is willing to provide additional information about himself, since he does not intend to commit illegal actions (deceiving other users, illegally collecting contact information) and does not seek to avoid responsibility for them.
A video image of the user's face may be requested

to verify that the user is not using someone else's documents during the security check, as well as to confirm the fact that the profile belongs to a real person and is not registered automatically.
CarDir.net's obligations to provide the opportunity to use free CarDir.net functionalities are counter to the user's obligation to undergo security check in the event of a threat to the security of CarDir.net users.
By providing a passport, and (or) a driver's license, and (or) a video image of a person for the purpose of undergoing the check, you agree to the processing of your personal data on our behalf by IP Zhivareva Yu.V. (OGRNIP 321508100047152) for the purpose of undergoing the check in accordance with the Policy.

Within CarDir.net, there may be various types of security checks, the user may be asked to undergo one or more security check options.
The fact that a user has successfully passed the security check does not guarantee the accuracy and relevance of the information provided by the user in their ads and profile, or a recommendation for other users to make transactions with them. Information about the fact of successfully passing the check can be used to receive marks on ads that increase trust in the profile (for example, the “Documents checked” icon and others). Such information is for reference only.
In case of unsuccessful security check, you may not have access to certain functions on CarDir.net or access to your profile may be limited.
You can only pass the security check in one profile on CarDir.net. Security check is available only to adult users.
We do not disclose to third parties information about users that is not posted in the public domain, except in cases provided by law (for example, at the request of certain government agencies). At the same time, we cannot be held liable for third-party illegal actions in relation to information that you have independently posted in the public domain on CarDir.net. By registering on CarDir.net and each time you log in to CarDir.net, you give your consent:

1) To process information about you as a subscriber and about the communication services provided to you (including your phone number, information about the subscriber device, other information about the services under the contract for the provision of communication services, etc.) and to transfer the results of such processing to us;
2) To the Company to transfer your phone number to our partners to confirm your reliability as a CarDir.net user.

Partners will not transfer information about you to the Company that constitutes a communication secret. Confirmation of your reliability is necessary so that the Company can provide you with the technical ability to create a profile on CarDir.net and post any information, to protect the interests of other users, as well as to prevent and suppress violations of the law, the CarDir.net Terms of Use and the contract for the provision of services.
We analyze how you use CarDir.net to make CarDir.net better and help you measure the effectiveness of our services.

5. User Content
User Content is text, images and videos that CarDir.net users post in ads, the public part of their profile and reviews. By leaving reviews on sellers, as well as responses to reviews, you express your subjective opinion and evaluate your communication or transaction with another user.
The Company does not act as a distributor of user content. You are the owner of all the information that you post on CarDir.net. You independently create, modify, post in the public domain for an unlimited number of people and delete content (including personal data) without our participation or consent.
If you publish your personal data as part of your public profile or ads so that users can contact you or get the most complete information about your offer, you independently disclose it to an indefinite number of people. The Company processes your personal data for the purpose of fulfilling the contract with you – the CarDir.net Terms of Use.
If you post personal data of third parties on CarDir.net or otherwise transfer it to the Company, you guarantee to us that all applicable requirements of the legislation on personal data are met, including, but not limited to, in terms of ensuring the security of storage of this data, the availability of the necessary consents of subjects for such posting, transfer or access.
You are obliged to independently ensure that user content fully complies with the law, the CarDir.net Terms of Use, the rules for posting ads, profile requirements and reviews. You guarantee that your content does not violate the rights of third parties to the results of intellectual activity.
CarDir.net does not pre-check the use of user content. We take action regarding content based on requests from authorized persons in accordance with the procedure established by law.
The purpose for which users post information on CarDir.net is to establish contact with a potential buyer who is interested in concluding a transaction regarding the service in the ad. Posting user content is permitted for informational purposes only.
It is prohibited to post knowingly false information in reviews, leave any reviews for sellers on CarDir.net if you are not interested in concluding a transaction regarding the ad, it is also unacceptable to "cheat" reviews, including leaving reviews for a fee that contribute to improving the seller's rating. Collection, copying, use and any other actions regarding user content for purposes not provided for in the Terms are prohibited. You cannot use user phone numbers for purposes not directly related to purchasing a service from the user.
You grant the Company the right to use your content and the intellectual property objects included in it under the terms of a non-exclusive license: in perpetuity, without providing remuneration, in any way, for action throughout the world, both with and without indicating the name of the author. We can use your content to fulfill the Terms, improve CarDir.net, for advertising and educational purposes, in commercial and non-commercial projects. We have the right to keep archive copies of user content and not to withdraw from circulation the materials that contain it.

6. Communication of users on CarDir.net
Authorized users can write messages to discuss services and terms of the transaction. It is prohibited to use messages for any other purposes, including transferring communication between users to other messengers or other communication channels by sending links to other sites, resources and services on the Internet.

7. CarDir.net communication with users
We may send you:
- system notifications that you cannot unsubscribe from: for example, to confirm registration, to inform you about access restrictions to your profile or ads;
- service notifications related to your actions on CarDir.net: for example, about receiving a message from another user, personalized selections of ads of interest;
- marketing and informational notifications: tips from CarDir.net, invitations to participate in research, promotions and news from the Company and our partners.

We may send you messages in the notification center in your profile, to the email address or phone number specified in your profile, to your device in the form of push notifications, as well as in messages on CarDir.net. In some cases, we may also contact you by phone (for example, to get feedback and improve services).

8. Deleting a profile
You have the right to delete your profile on CarDir.net at any time by contacting support. Your profile will be deleted upon termination of the contract under the terms of the offer, if you have entered into one. We will delete your profile on CarDir.net if you do not use it at all within three years.

9. Protection of intellectual property rights
Exclusive rights to computer programs required for using CarDir.net, databases, graphic design of the interface (design) and other elements of the CarDir.net website, the company name, trademarks/logos and other distinctive signs of the Company, including those used in the CarDir.net domain name, belong to the Company.

The Company owns the rights to registered and unregistered databases, including, but not limited to: the CarDir.net ad database (together - "databases"). Databases include both ads posted in the public domain on CarDir.net and ads that are not available for viewing by users at a certain time. As a database producer, the Company bears significant financial, material, organizational and other costs for their creation.
We have the right to automatically apply CarDir.net logos/watermarks to the photos you upload to protect the materials in our databases from unauthorized copying.

10. License to use databases and programs
We grant users a non-exclusive license to use the databases and computer programs necessary for using CarDir.net for the purposes specified in the Terms. No remuneration is charged for the license.
The license is granted from the moment of access to CarDir.net and remains valid as long as you use CarDir.net. Searching and viewing ads is available to all users, regardless of registration and authorization. In order to access other functionality of CarDir.net, you need to log in.
Without the consent of the Company, it is prohibited to use technical means to interact with the service bypassing the normal procedure for using databases and computer programs. In particular, it is prohibited to use automatede scripts for collecting information on CarDir.net, as well as for automatic registration of profiles.
Without the consent of the Company, it is prohibited to use databases and computer programs for purposes not provided for in the Terms. This means that it is prohibited to extract materials from databases and / or to subsequently use them in any form and in any way, regardless of their volume and agreement with third parties, unless this is directly related to the conclusion of a transaction regarding the goods in the ad. For example, it is prohibited to use materials from CarDir.net databases to fill the databases of third parties. It is also prohibited to use phone numbers from CarDir.net databases to call CarDir.net users with offers of services or goods. Such actions violate not only the exclusive rights of the Company, but also the intellectual rights of users, and also constitute the processing of personal data of CarDir.net users without their consent.

11. Obligations of users
By using CarDir.net and interacting with the Company, you undertake to:
- strictly comply with all legal requirements;
- comply with the CarDir.net Terms of Use, rules for posting ads, profile and review requirements, and other CarDir.net rules and instructions from the Company;
- do not call CarDir.net users unless you are a potential buyer and are not interested in concluding a deal on the ad, do not send spam to users;
- do not copy information on CarDir.net using automated means, including user content;
- do not use obscene language, images and statements that provoke cruelty, hatred or disrespect, contain threats or insults, justify illegal actions, do not comply with moral standards or business practices;
- do not use CarDir.net or the information posted on CarDir.net for purposes not provided for in the Terms;
- do not download or use malicious programs on CarDir.net;
- do not take actions that may interfere with the normal operation of CarDir.net.

12. Violations and consequences
We strive to make CarDir.net a convenient and safe tool, therefore we reserve the right to conduct a random check of users' compliance with the CarDir.net Terms of Use at any time and at our discretion.
We have the right to take measures in the event of detection of violations or actions to prepare for a violation of the law, the rights of third parties or the Terms and Rules of CarDir.net, including abuse of CarDir.net services, using your profile or your technical means: restrict access to your profile or some functionality of CarDir.net, restrict the issuance of your content in search results, hide the display of an ad on the map, reject or block your content, restrict access to CarDir.net from certain IP addresses.
We may restrict access to a profile if other users complain about the profile, spam is sent, there are repeated or malicious violations of the Terms of Use and Rules of CarDir.net (including posting ads and indicating prices that do not correspond to reality), the profile is hacked, the user fails to provide documents or information at our request, false reviews are posted, the user is a legal entity, or if we notice signs of fraud or imposition of additional services and conditions in the user's behavior on CarDir.net.

We are not responsible for any possible damages caused to users in connection with taking measures to prevent and stop violations on CarDir.net. We recommend that you save a backup copy of your content on your device.
For violating the law or the rights of third parties when using CarDir.net, you may be subject to administrative, criminal or civil liability.

13. Final Provisions
The provisions of Sections 2, 3, 6 - 8 of the Terms apply to users registered on CarDir.net. All other provisions apply to all CarDir.net users, regardless of registration and authorization. Any form of interaction with CarDir.net (including viewing information) confirms your agreement with the Terms. The Company's obligations to provide access to the functionality of CarDir.net are counter to your obligations to comply with the Terms. When there is no fee for using CarDir.net, consumer protection legislation does not apply to the relationship between the Company and users. Provision of certain functionality of CarDir.net may be regulated by special terms. The functionality of CarDir.net may be changed, supplemented or terminated at any time without prior notice to users. Use of CarDir.net is offered "as is", that is, in the form and to the extent in which the Company provides the functionality of CarDir.net at the time of access to them. We are not responsible for temporary failures and interruptions in the work CarDir.net bot and the loss of information caused by them. We are not liable for any indirect, incidental, unintentional damage, including lost profits or lost data, harm to honor, dignity or business reputation caused in connection with the use of CarDir.net. CarDir.net is intended for users in the Russian Federation, so some functionality may be limited or unavailable outside of it.
CarDir.net may contain links to third-party websites. We do not control and are not responsible for the availability, content and legality of such third-party websites.
When resolving all disputes between the Company and users, the legislation of the Russian Federation applies. All disputes must be submitted to the court in accordance with the territorial jurisdiction at the location of the Company (Moscow), unless otherwise provided by law.
By continuing to use CarDir.net after the Terms have changed, you confirm your consent to the changes made to them.

2. Definitions

When you post ads, reviews or information in your profile on CarDir.net, personal data included in such information becomes available to an indefinite number of people. You disclose such data yourself without providing us as the personal data operator with separate consent. The company does not distribute your personal data. We process such data for the purpose of fulfilling the contract with you concluded on your initiative.

11. Deleting a profile on CarDir.net
To delete your profile on CarDir.net and all the data in it, please contact the support service. We will stop processing your personal data and delete it in accordance with the requirements of Russian legislation. We will not be able to restore your data, even if you change your mind later. The law requires that we store user information for at least a year after deleting the profile.
